These Terms & Conditions ("Terms") govern your access to and use of the EarnedStars service and website (the "Service"), operated by EarnedStars ("we," "us," or "our"). By subscribing to or using the Service, you ("you" or "Customer") agree to these Terms.

1. The Service

EarnedStars provides software that helps local service businesses request and manage customer feedback and reviews, including sending text-message feedback requests and notifying business owners of customer responses and low ratings. Features may change over time.

2. Eligibility & Accounts

You must be at least 18 and authorized to act on behalf of your business. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials and all activity under your account.

3. Acceptable Use & Customer Responsibilities

You agree to use the Service lawfully and in compliance with all applicable rules, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, carrier and CTIA messaging guidelines, and the policies of review platforms such as Google. In particular, you agree that:

You will only send feedback requests to customers with whom you have an existing business relationship and who have consented to be contacted.
You are responsible for obtaining and maintaining proof of that consent.
You will not use the Service to send spam, unlawful, deceptive, or harassing messages.
You will not use the Service to engage in "review gating" or to suppress, hide, or discourage honest reviews. EarnedStars is designed to invite all customers to leave public reviews regardless of their rating — every customer receives the same review links.
You will not incentivize reviews in violation of platform policies or the law.

Compliance matters. You are solely responsible for how you use the Service with your customers, including obtaining proper consent before messages are sent. EarnedStars provides tools designed to support compliant use, but does not provide legal advice.

4. Messaging Terms

The Service sends SMS messages on your behalf. Message and data rates may apply to recipients. Recipients can opt out at any time by replying STOP and can request help by replying HELP. You authorize us to send messages on your behalf to recipients you submit, and you represent that those recipients have consented to receive them.

5. Fees & Payment

Subscription fees are billed in advance on a recurring basis as described at signup (for example, monthly). Fees are non-refundable except where required by law. You may cancel at any time; cancellation stops future billing but does not refund the current period. We may change pricing with reasonable notice.

6. Third-Party Services

The Service relies on third-party providers (such as messaging carriers, hosting, and payment processors) and integrates with platforms like Google. We are not responsible for the availability, policies, or actions of those third parties.

7. Intellectual Property

We own all rights in the Service, including software, content, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee any specific number of reviews, ratings, business results, or message deliverability, which depends on carriers and platforms outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, EarnedStars will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless EarnedStars from claims, damages, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law — including any claims relating to messages sent without proper consent.

11. Termination

We may suspend or terminate the Service for violation of these Terms or applicable law. You may cancel your subscription at any time.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Vermont, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.
